Yes.

I take that back. It should work fine with an Athlon 64 but I'm not sure about an Opteron.

It will work on an Opteron, as Opteron and Athlon64 have the same retention mechanism. ECC means error correcting code, which is generally reserved for servers and high end workstations.

There are not many Xeon coolers, mainly because of the lack of methods for overclocking a Xeon (yes, I know there are ways.)

ECC = registered I believe.

ECC doesn't mean registered. Most ECC RAM is registered anyways, so don't get hung up on it. It's probably better to Google your little quandry and save yourself the time and agony of figuring out which one of us is right :).
