which should I get, here's what I have:

p4 2.4a prescott (hopefully to be running around 180fsb)
2x 512mb pc4000 hyperx
wd 2000jd 200gb sata
gf4 ti4200
ide dvdrom, dvdr, cdrw

I want to do some overclocking as this cpu was tested by its previous owner at 180fsb >3200mhz

Considering your CPU you may want to look at the Asus P4S800 line since it will give you memory dividers to take advantage of your memory. 865/875 boards allow 1:1, 5:4 and 3:2. The SiS boards allow for higher memory bus speeds than cpu speeds which you will need to run PC4000 memory.

I am planning on running it at up to 180fsb - the previous owner had it there

and these boards are the only i have available to me used... so i'm choosing between the two ;) unless there is a major reason i shouldn't. I'd like to stay with Intel chipsets.

I have the is7e. This board is currently equal to the canterwood ic7. Especially now that the bios enables the PAT. Its also significantly cheaper. Unless you really need a canterwood i would go with the 865pe chipset is7e and rock on. I have it and it rox.
