The -E version comes with a WinDVD Suite and has onboard 3Com gigabit Ethernet on one of its two LAN jacks, instead of dual 10/100Mbit. It also appears to come with a SATA power-plug adapter in case your PSU doesn't have SATA plugs and you need some. For the extra dollar or whatever, might as well get it.
The onboard audio processor is generally compared to the Audigy. Some people throw stones at the output quality because it goes through a digital -> analog converter chip that isn't anything special, but the actual audio processing capabilities are quite powerful. It's still the only Dolby DICE-capable audio processor out there AFAIK. The board has a S/PDIF coaxial outlet so you can bypass the DAC and route the audio in digital form to digital speakers or a digital-capable receiver or whatever. Hope that helps
