939 opteron in a 940 MB?

I am looking at the Opteron 165 as a interim step in buidlign a worksation so, I thought I might put it in a dual 940 MB like the Asus. Will that work?

Ok. I am an AN8-SLI fan as well but, just thought it would be nice to have the extra ram slots.
