hi
I am running amd athlon 64 3400+ asus k8v deluxe mobo with a radeon 9600 pro gfx card. Thinking bout installing the 64bit os, Im guessing there will be alot of issues with 32bit programs and games?

There should be no problems.

The Athlon 64 is awesome even in 32bit mode. Your only problems may come from using a beta operating system (if you're talking about Windows XP 64bit)

Well, for one, ATI doesn't have 64-bit windows drivers out so:

gaming + you + 64-bit windows = No

Depending on your sound card you might not be able to find drivers for that either.
The main problem with the 64-bit windows beta is that there's very few drivers out for it right now. Which is the reason for the open beta in the first place.

I have the 64-bit version of XP on another partition and drive availability is a big issue. The native drivers allow you to play many games in direct3d...but still not up to par with the drivers available for the 32-bit version. I signed up with ATI to test their beta 64 bit drivers, but I haven't heard back from them yet. :(

Otherwise I haven't run into really any problems with it....even considering it's a beta os.
