64 Bit system Windows XP 32 Bit OS

I am trying to install Windows XP Pro on a 64 Bit CPU system, which should work, right? Now when I try to install the OS, once all the stuff loads from CD, I get an error:

Error is:
Stop - C0000221 Unknown Error
\System Root\System32\ntdll.dll

What is the heck is this mean?

The drive is EMPTY (the hard drive).

Its a system with a IDE DVD-ROM, 1 SATA Seagate drive.

Foxconn NF4-ERS board with AMD 64 Bit 3500+ CPU.

Any help here I would appreciate it.
 
I got that problem when the sata drivers wouldn't load properly during installation. Finally resolved by slipstreaming an XP with sp1a bootable cd.
