415 to spend on upgrade

so I'm looking at this motherboard: ASRock 939Dual-SATA2 (can't afford to get rid of my agp card yet)

this cpu: AMD Athlon 64 3700+

and this case: COOLER MASTER Centurion 5 CAC-T05

total is $395.50 after shipping from newegg

I use the comp for a wide range of applications, from websurfing, to video editing, beatmaking/recording to watching video

does this look like a good setup? any suggestions for better parts in the same price range?

all i can say is perfect.

case is user preference so nothing to change there

btw, do u plan on OCing?

no OC'ing for me, 2.2 ghz will be fine, i've been doing all those activities on my 1.4ghz amdxp with 768 of ram, so this should be a huge improvement
