I think some HDs have jumpers that limit the amount of shown space - check to see if it is checked (you can find the jumper settings on the maxtor homepage)

typical manual here

I dont know which model you have
but Q3 Faq

Q. After connecting my new drive, my system hangs after counting the memory. Why?
A. If the system hangs during the boot process after installing the Maxtor hard drive ? either before or after setting the system BIOS ? this is an indication that the system
BIOS has a capacity barrier or cylinder limitation and does not correctly support the hard drive. Or there is a conflict with another device on the same cable as
the new hard drive. If this happens, do the following:
1 Turn the system OFF.
2 If the drive is on the same cable with another device, make sure the jumper settings for both devices are set correctly for their positions or Install the cylinder
limitation jumper (J46) on the Maxtor drive. The figure below shows the Maxtor hard drive configured as a Master, Slave or Cable Select device with the
cylinder limitation jumper installed.
3 If the BIOS was set to AUTO DETECT, follow the instructions in Section 3 on the front of this Installation Guide to prepare the hard drive using the
MaxBlast? Plus installation software.
If other BIOS settings were used, access the system BIOS SETUP program and set the BIOS parameters to a User Definable Type with 1,023 cylinders, 16 heads and
63 sectors per track for the Maxtor hard drive, and disable LBA (typically set to normal). Then follow the instructions in Section 3 on the front of this Installation Guide
to prepare the hard drive using the MaxBlast Plus installation software.
IMPORTANT:When the Cylinder Limitation jumper (J46) is installed, the Maxtor hard drive MUST be prepared using the MaxBlast Plus installation software.
Certain operating systems (e.g.Windows NT and Novell) do not support this option. You will have to install the drive on a system that has a BIOS that supports the
capacity of the drive when installing these operating systems.

32 gigs is typically a bios limitation, use Maxtor's software to allow you to use the whole amount.

how old is your motherboard?

this most likely is the problem. either find a bios update which might help, or like was suggested, get maxtor's "bios overlay software" which will let you utilize all the space..i belive it's called "maxblast" software

Once you are sure the jumper is correct. Flash the bios to the latest. Older bios will not accept over 32gb total. Had this same problem with a comp yesterday. Flashed it and it works like a charm. 60GB of pure madness!!!

As others stated, are you sure it's not a BIOS limitation as 32GB is a very common capacity limitation in many older BIOS revisions.
Which model 40GB Maxtor drive is it specifically?
