Imo its not worth it unless your a fsaa freak, with the extra 32megs of memory it'll allow you to use a higher fsaa setting at higher res compared to a 32meg gts. Also it has an advantage at higher res(1280x1024 and up) at 32bit, still not worth the extra 75 bucks if you ask me 🙂
In my opinion you are buying video card life. The GTS is a powerful chip that will probably be able to handle games in terms of polygon complexity for the next couple years. The extra RAM will ensure that you will not become reliant on shoddy AGP texturing as textures become larger and greater in number.
IMO if you can get a good 64Mb card under $300 than go for it, but that is just me.
Just a thought... but a 64meg OEM GTS has better memory to OC the card with as compared to a 32meg (there were several post on this subject a few weeks ago)... My preference is the OEM CL Geforce2 GTS 64meg that Untamo sells... Mine hits 240/410 core/memory with no problems and is worth about an extra 450 points in 3dMark2000 and 8-10 frames in UT...
