2 PC's a XP3200 and the other Sempron2800 both Socket A.

Can I overclock them? and how? Is it worth it?

Should I try it with stock cooling point me in the right direction.

I Mainly would if I did to either of them would do the Sempron because it worth less to me and not as bad if I wreck it.

You can OC them IF the MB's allow you to change settings in the bios. Check out the forums and explore the bios on both rigs to check if it is possible to OC.

It is worthwhile to OC if only to learn something new and perhaps eke out better performance from the hardware.

The Socket A CPUs were very adaptable to overclocking, but the level of success was variable. Mobile versions offered the greatest opportunities, if the owner also had a system board with the correct BIOS to support the unlocked Multiplier.

The XP 3200 will have a lower ceiling, having already been boosted close to the limit for that CPU design. The Sempron will have more headroom to work in, if it accepts the overclock. You will want to increase the cooling capacity of the CPU heat sink, of course, before you start. In neither case will you get far without the appropriate controls being available in the BIOSes.
