2 Netgear NIC and Crossover, no luck

I have 2 Netgear FA311, 1 Realtek 8029 (10baseT), and a crossover cable

I try to wire the 2 netgear together with the crossover and have the realtek connect to the outside world. It doesn't work even when I try to run the card's diagnostic. It report no connect, auto sense, or 10/100TX on a random bases. I even try to force the netgear to run in 10baseT and still no luck.

Now, I switch my connection to a netgear crossover to a realtek, then another netgear to outside like this:

netgear---------realtek<>netgear----------dsl

as a result, it works perfectly, but I lose the 100mbps as a result. This defeat my original plan by wasting more money on netgear than generic ne2000pci.

What is in the problem here? is it the cable? netgear card? or just software issue? any suggestion welcome.
