i currently have 2 sticks of 256MB RAM, i want to upgrade preferably to 2 sticks of 1GB but that will depend on cost. Are there a certain brand of 1GB RAM sticks that are better than others? also does anyone know a cheap place to buy from, preferably an english site or an american one with low shipping costs.

What are your system specs? What is your budget? If you have an AMD64 system, Crucial Ballistix would be one of the better choices.

also if your mobo is dual channel capable, then youd get more performance from 4x256 (all of the same type)... well some dont work like that but hey

2GB is overkill for anything other than a server. Corsair Value Select is the way to go if you do'nt want to overclock (140$ for 2x512mb (1GB total) CAS2.5 DDR400 in the US), and Patriot is a nice option if you want to overclock (2x512mb (1GB total) CAS3 relaxed timing DDR500 for 190$). Also, you might want to ditch your old RAM; if you're using anything below PC3200 it's just going to slow down the other RAM and drop performance.

i use it for downloading and games mainly, films, anime etc.
Specs:
Processor: AMD Athlon 2.0 ghz with Barton so its about the same speed as a 2.6 or 2.8
Graphics Card: MSI MS-Starforce Geforce FX 5600 with AGP8X 128mb
RAM: 2x256, no idea of the name
Motherboard: Nvidia, im pretty sure its one of the K7N2 my brother told me it can only handle a max of a 3.0ghz processor, as far as i know there are only 2 slots for memory on it
HD: P-ATA 200Gb 8Mb-cache ATA-133 7200rpm MAXTOR
also do any of you know a good motherboard that can take more than a 3.0ghz processor but that i could still use the same graphics card etc with?

Agreed.

Your best two options would be a newer video card and more ram (1gb total), the former would help more in games and nowhere else, the latter in general performance (including games, but not as much as a new video card would). You can use that same video card with just about any current motherboard.

2x512mb corsair value select if you're not OC'ing. Don't bother getting a new motherboard.

No, need a new mb and probably new ram as well (pc3200, or higher for OCing). Whether it's worth it depends on what you have to spend, what your standards for system performance are, and how much of a priority it is for you.
