I'm confused. Are you saying you went to CompUSA and pricematched OM's price or is that just your theory? As far as I know, and speaking from experience, CompUSA will not price match their pre-rebate price to that of other stores. They will just say their price after rebate is lower.

People, including myself, goto MC to actually buy some stuff. Sometimes some small items are cheaper at B&M when you factor in the shipping from online stores. MC have some deals from time to time. I rather buy stuff from MC than CompUSA, BB or CC any day of the week.

That "IF" is equivalent to "when hell freezes over." CircuitCity has been the worst place to pricematch in my experience. They usually make up their own rules in order to get out of pricematch even when I provide actual receipts.
CompUSA B&M often try to weasel out of deals that are available online. Their usual excuse: "oh, CompUSA.com and CompUSA stores are two different companies."
The cheapest shipping was $8.95. Considering the $3 I spent on gas picking it up, it was basically $6 difference. Unless you actually need a toolbox, I do not think this would be a hot deal shipped. I have no complaints about the construction except how the handle is attached to the top.
