AMD 64 is better at floating point and Intel is good at multitasking just by itself but then again Hyperthreading is a gimmick and I don't trust virtualization.
I would just get a passive cooler and you should be good. The only thing you might have to watch out for is if you have an aftermarket cooler like a zalman.
I would say that socket 754 is a dying line and to stick with 939 and PCI-Express. Yes i know mobo makers have released PCI-Express for Socket 754 but they are expensive.
