use something link dBpowerAMP Music Converter. I have used it in the past to convert FLAC files to WMA Lossless without any problems, great little app.

Go over to Doom9 they have info on all of the H.264 encoders available (Mainconcept and Sorenson also have windows encoders available). Note that they are both pretty expensive $300 or more. Doom9 has some free tools available on their site.
