Thermal grease just on the die. The ceramic portion of the CPU doesn't make contact with the heatsink.
Be advised that TOO MUCH grease is almost as bad as no grease at all. Apply only enough to leave a tissue-paper thin layer between the CPU die and the heatsink itself.

Plenty. Be advised though that your power supply needs to have the 12v 2x2 and 3.3 volt 1x6 auxillary power connectors to deliver a stable system. The case and 400w power supply I bought from CompUSA had the auxillary connectors, much to my surprise.
