Why do you want to upgrade the CPU? I would go first with memory (buy a laptop that supports 1GB and more, so you can expand it in the future); second I would upgrade HDD to 5400RPM or 7200RPM. I don't think that you'll see any improvement in performance just by upgrading CPU.
