I considered the DS4 and IP35 Pro for my new build. What tipped the scales for me (to the Abit board) were: orientation of the SATA connectors (the gigabyte boards could pose a problem if ever running Crossfire), more room around the CPU for large coolers, rear panel cmos reset, and uGuru...
The thermalright unit replaces the stock cooling unit... but like zagood said, please read the instructions! And go buy some thermal compound (like Arctic Silver).
Stock cooling on the IP35 pro is great if you re-seat everything with good thermal compound and do the bolt mod to ensure it's making good contact... I agree with the others that what you are doing will probably end up being worse (and cost you unnecessary $$)...
